License Agreement

This License Agreement governs your use of Emargy software products, product files, license keys, updates, downloads, documentation, and related support. It applies in addition to the Terms of Service and any product-specific terms shown at purchase.
1. License Grant
When you purchase an Emargy software product, Emargy grants you a limited, non-exclusive, non-transferable, revocable license to install and use the product according to the plan, tier, site limit, duration, and conditions purchased.
2. License Scope and Site Limits
Each license is limited to the number of websites, domains, stores, or installations included in the purchased tier. Development, staging, or local environments may count toward activation limits unless the product dashboard or written product terms state otherwise.
You are responsible for managing activated domains and deactivating unused domains where the product allows it.
3. License Keys and Activation
License keys are personal to the purchasing account or business. You must not publish, share, sell, lease, transfer, expose in public repositories, or include license keys in distributed code. Emargy may monitor license validation, activated domains, update requests, and download requests to enforce license limits and protect the product.
4. License Period
Unless stated otherwise, a license includes updates and support for one (1) year from purchase. After the license period expires, the product may continue to function in its last available version, but access to new downloads, updates, security releases, support, and license services may stop until renewal.
5. Updates and Support
Active licenses may receive product updates, compatibility updates, security patches, documentation updates, and support according to the purchased tier. Emargy may change, improve, remove, or replace features as products evolve.
Support does not include custom development, third-party plugin conflicts, third-party theme fixes, hosting administration, unrelated WordPress issues, or modified product code unless separately agreed.
6. Ownership
Emargy retains ownership of its product names, branding, documentation, update systems, license systems, commercial packaging, proprietary code, design assets, and related intellectual property. You receive a license to use the product, not ownership of the product or commercial distribution rights.
7. Open-Source Components
Some products may include or interact with open-source components, WordPress, WooCommerce, or third-party libraries. Those components remain governed by their respective licenses. This commercial license governs Emargy’s proprietary assets, commercial distribution package, update access, support access, license key services, documentation, and non-open-source materials to the fullest extent permitted.
8. Restrictions
You may not:
- share, resell, sublicense, lease, lend, redistribute, publish, or transfer product files or license keys except as expressly allowed;
- bypass, remove, disable, modify, or interfere with license checks, update checks, activation limits, or protection mechanisms;
- use one license beyond the purchased site, domain, installation, or usage limits;
- claim ownership of Emargy products, names, branding, documentation, or commercial materials;
- use the product for illegal activity, spam, phishing, malware, unauthorized messaging, infringement, or abusive automation;
- upload license keys or private product packages to public repositories, public websites, or shared marketplaces.
9. Backups and Responsibility
You are responsible for maintaining backups and testing updates in a safe environment before deploying to production. Emargy is not responsible for data loss, store downtime, theme conflicts, hosting limits, third-party service failures, or damages caused by improper installation, modification, or use.
10. License Enforcement
Emargy may suspend, limit, deactivate, or revoke license keys if we reasonably believe there is license sharing, piracy, excessive activation, fraud, chargeback, abusive use, public exposure of keys, violation of this Agreement, or risk to our systems or customers.
11. Transfers
Licenses may not be transferred to another person, business, account, marketplace buyer, or client unless Emargy gives written permission or the product tier explicitly allows client deployment. Agency or client work must remain within the purchased license limits.
12. Termination
This license terminates automatically if you violate its terms. Upon termination, you must stop using the product, delete product files where required, stop using license keys, and discontinue access to updates and support. Emargy may deactivate related license keys and downloads.
13. No Warranty
Products are provided “as is” and “as available” to the maximum extent permitted by law. Emargy does not guarantee compatibility with every hosting provider, WordPress version, WooCommerce version, theme, plugin, browser, payment gateway, API, or custom environment.
14. Refund Relationship
Refund eligibility is governed by the Refund Policy. Downloading, activating, validating, or using a license may limit or remove refund eligibility.
