These Terms of Service govern your access to and use of the Emargy website, customer dashboard, digital products, software licenses, downloads, documentation, support, and custom digital services. By using Emargy or purchasing from us, you agree to these Terms.

These Terms work together with our Privacy Policy, Refund Policy, License Agreement, and any written proposal, statement of work, invoice, or service agreement we provide.

1. Who We Are

Emargy is operated by Emargy LLC, a company registered in Wyoming, United States. References to “Emargy,” “we,” “us,” and “our” mean Emargy LLC.

2. What We Provide

Emargy is a digital product studio. We provide custom digital services and sell our own digital products. Our offerings may include:

  • websites, ecommerce stores, WooCommerce systems, Laravel systems, automation, branding, consulting, and marketing services;
  • WordPress and WooCommerce plugins, software products, product files, documentation, updates, license keys, and support;
  • customer accounts, product dashboards, downloads, invoices, and support tickets.

Product descriptions, service descriptions, screenshots, feature lists, performance statements, and examples are provided for general understanding. They are not guarantees of compatibility, revenue, ranking, conversion, uptime, or business outcome.

3. Accounts and Security

You may need an account to access purchases, downloads, licenses, invoices, and support. You must provide accurate information, keep your login details secure, and notify us if you suspect unauthorized access.

You are responsible for activity under your account. We may suspend or restrict an account if we reasonably believe it is involved in fraud, abuse, chargeback abuse, license misuse, security risk, false information, or violation of these Terms.

4. Orders, Payments, and Taxes

Prices are shown in U.S. dollars unless stated otherwise. We may change prices, plans, features, and availability at any time. Placing an order does not require us to accept it; we may refuse, cancel, or review orders for fraud, error, abuse, sanctions, payment risk, or policy violations.

Payments are processed by the payment providers enabled on the website at checkout, such as Stripe when available. Payment providers process payment data under their own terms and privacy policies. You are responsible for applicable taxes, duties, bank fees, currency conversion, and payment provider charges unless explicitly stated otherwise.

5. Digital Delivery

Digital products, license keys, downloads, and documentation may be delivered through your account, email, dashboard, or product update system after payment is accepted. Delivery can be delayed by payment review, fraud checks, account verification, system maintenance, or technical issues.

You are responsible for maintaining access to the email address and account used for purchase. Download availability may depend on an active license, an active account, or a current product plan.

6. Software Licenses

Purchasing a software product grants a limited license under the applicable plan or tier. Site limits, activation limits, update access, support access, and license duration are governed by the product page, checkout details, invoice, and the License Agreement.

You do not purchase ownership of Emargy’s brand, product names, update systems, licensing systems, documentation, dashboards, proprietary code, design assets, or commercial distribution rights.

7. Acceptable Use

You agree not to:

  • share, leak, resell, redistribute, sublicense, or transfer license keys or product files except as expressly allowed;
  • bypass, disable, tamper with, overload, scrape, attack, reverse engineer, or interfere with our website, APIs, update systems, license systems, or servers;
  • use Emargy products or services for spam, phishing, malware, illegal activity, deceptive activity, infringement, harassment, or abusive automation;
  • misrepresent Emargy products as your own or imply endorsement without permission;
  • use a product on more sites, domains, or installations than your purchased license allows.

8. Support

Support availability, response time, channels, and scope depend on the product, license, plan, or service agreement. Support normally covers Emargy products and Emargy work only.

Unless agreed in writing, support does not include custom development, third-party plugin or theme fixes, hosting administration, unrelated WordPress maintenance, training, recovery from unauthorized modifications, or troubleshooting caused by external systems outside Emargy’s control.

9. Custom Services

Custom services are governed by the proposal, statement of work, invoice, or written agreement for that project. Those documents may define scope, deliverables, milestones, payment schedule, revision limits, acceptance criteria, timeline, ownership, and ongoing support.

Project timelines can change if approvals, content, credentials, assets, feedback, third-party access, or payments are delayed. Third-party costs such as hosting, domains, premium plugins, ad spend, paid APIs, stock assets, and external subscriptions are your responsibility unless stated otherwise.

10. Refunds and Chargebacks

Refunds are governed by our Refund Policy. You agree to contact us first if you believe there is a billing or delivery issue. We may suspend licenses, downloads, support, or account access connected to unpaid, disputed, reversed, or charged-back transactions.

11. Intellectual Property

Emargy owns its website, brand, trademarks, product names, content, product packages, documentation, design systems, license systems, update systems, commercial materials, and original work unless a written agreement states otherwise.

For custom client work, ownership and usage rights are defined in the relevant proposal or agreement. Until full payment is received, Emargy may withhold final deliverables, source files, credentials, deployment, licenses, or transfer of rights where permitted by law and agreement.

12. Submitted Materials

You are responsible for content, logos, data, credentials, business information, website access, images, copy, and other materials you submit. You confirm that you have the rights and authority to provide them and that they do not violate law or third-party rights.

13. Third-Party Services

Emargy products and services may depend on third-party platforms such as WordPress, WooCommerce, hosting providers, payment processors, email providers, analytics tools, search engines, Meta/WhatsApp, Google, and other APIs. We are not responsible for third-party outages, policy changes, pricing changes, API limits, account restrictions, data practices, or security incidents.

14. No Guaranteed Results

Emargy may provide strategy, design, development, optimization, automation, marketing, SEO, GEO, conversion, and performance recommendations. We do not guarantee sales, revenue, profit, rankings, AI search visibility, conversion rates, platform approval, traffic, uptime, or any specific business result.

15. Disclaimers

To the maximum extent permitted by law, Emargy products, services, website, downloads, license systems, and support are provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and compatibility with every hosting environment, theme, plugin, browser, or third-party service.

16. Limitation of Liability

To the maximum extent permitted by law, Emargy LLC and its owners, employees, contractors, suppliers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, reputational harm, replacement costs, or lost opportunities.

If liability cannot be excluded, Emargy’s total liability for a claim is limited to the amount you paid to Emargy for the specific product or service giving rise to the claim during the twelve (12) months before the event, or the amount originally paid for that product or service, whichever is lower.

17. Indemnification

You agree to defend and indemnify Emargy LLC from claims, losses, damages, liabilities, costs, and expenses arising from your misuse of products or services, violation of these Terms, violation of law, submitted materials, unauthorized account activity, license misuse, or infringement of third-party rights.

18. Termination

We may suspend or terminate access to accounts, downloads, updates, support, license keys, and services if we reasonably believe there is fraud, abuse, security risk, unpaid fees, chargeback abuse, policy violation, license misuse, or legal risk. Sections intended to survive termination will remain in effect.

19. Changes

We may update these Terms from time to time. The updated version will be posted with a new “Last updated” date. Continued use after changes are posted means you accept the updated Terms.

20. Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law rules. Disputes will be handled in the state or federal courts located in Wyoming, except where applicable consumer law requires otherwise.
